The basic policy of our Group regarding compliance is as follows:
Our Group firmly believes that fulfilling our social responsibilities through business activities requires the strict observance of all applicable laws, regulations, and corporate ethics as a matter of course.
To this end, we have appointed legal officers within the Corporate Administration Division of Kitahama Capital Partners Co., Ltd. and the Compliance Department of Sun Asset Management Co., Ltd., who are responsible for managing all legal affairs. These officers work in close coordination with other departments to enhance and maintain a strong compliance framework. For significant legal matters, we seek advice from legal advisors, including outside counsel, to ensure that our corporate activities comply with relevant laws and regulations.
Furthermore, our Group adopts a resolute stance against antisocial forces that pose a threat to public order and safety. We categorically refuse to provide any form of benefit to such entities and maintain a zero-tolerance policy with regard to any association with them. We also conduct regular checks to ensure that none of our stakeholders have any ties to antisocial forces. When necessary, we consult with investigative agencies or gather relevant information to ensure thorough due diligence and risk management.
Basic Policy on Responding to Antisocial Forces
In order to uphold public trust and ensure sound corporate management, our company has established the following basic policy to reject and sever all ties with antisocial forces that pose a threat to public order and safety in civil society, and to firmly resist any unjust demands.
- Severing All Relationships, Including Business Transactions
We will resolutely refuse any unjust demands made by antisocial forces and take proactive measures to eliminate all relationships, including business dealings, with such entities. - Prohibition of Financial Support
Under no circumstances will we provide funds or benefits to antisocial forces, regardless of the reason. - Cooperation with External Expert Organizations
To eliminate antisocial forces, we will maintain close and ongoing cooperation with external expert organizations such as the police, legal advisors, and centers for the elimination of organized crime groups. - Organizational Response
The company will respond to antisocial forces as an organization, not leaving the matter solely to individual employees or departments. The entire management team will be involved in a coordinated response. - Civil and Criminal Legal Measures in the Event of an Incident
If unjust demands are made by antisocial forces, we will actively consult with external experts and take all possible civil legal actions. We will not hesitate to seek criminal prosecution where appropriate.
